These Terms of Service ("Terms") govern your access to and use of Munificence's website, services, and applications (collectively, the "Service") operated by Munificence Ltd ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

1. Acceptance of Terms

By creating an account, accessing, or using Munificence, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

You must be at least 18 years old to use the Service. If you are under 18, you may only use the Service with the consent and supervision of a parent or guardian.

2. Description of Service

Munificence is an expense management platform designed for volunteer-run sports clubs, small businesses, and organizations. The Service allows users to:

  • Capture and upload expense receipts
  • Track and manage expenses
  • Approve or reject expense submissions
  • Monitor budgets and generate reports
  • Export data for accounting purposes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for safeguarding your account credentials. We are not liable for any loss or damage arising from your failure to comply with this obligation.

4. Subscription Plans and Payment

4.1 Free Plan

We offer a free plan that includes:

  • Up to 10 users
  • 30 receipts per month
  • Basic customer support
  • Standard features as described on our website

The free plan is provided "as is" and may be modified or discontinued at any time without notice.

4.2 Paid Plans

Paid subscription plans are available with additional features and higher usage limits. Subscription fees are billed in advance on a monthly or annual basis, as selected by you. By subscribing to a paid plan, you agree to pay all fees associated with your subscription.

All fees are non-refundable except as required by law or as otherwise stated in these Terms. If you upgrade or downgrade your plan, we will prorate the fees accordingly.

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the price change constitutes your agreement to pay the new price.

4.3 Payment Processing

Payments are processed through third-party payment processors. By providing payment information, you agree that we may charge your payment method for all fees due. You are responsible for providing valid payment information and maintaining updated payment details.

If payment fails or your account is past due, we may suspend or terminate your access to the Service until payment is received.

5. User Obligations and Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Upload or transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service to store or process illegal or fraudulent expenses
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest information about other users

  • Reverse engineer, decompile, or disassemble any part of the Service

We reserve the right to investigate violations of these Terms and may involve law enforcement authorities. Violations may result in immediate termination of your account and legal action.

6. User Content and Data

You retain ownership of all data, information, and content you upload or submit to the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and warrant that:

  • You have the right to upload and use the User Content
  • Your User Content does not violate any laws or third-party rights
  • Your User Content is accurate and not misleading

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

The Service, including its original content, features, and functionality, is owned by Munificence Ltd and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, logos, and service marks may not be used without our prior written permission. All rights not expressly granted in these Terms are reserved by us.

8. Service Availability and Modifications

We strive to provide reliable service but do not guarantee that the Service will be available at all times or free from errors, interruptions, or defects. The Service is provided "as is" and "as available."

We may:

  • Perform scheduled maintenance that may temporarily interrupt the Service
  • Modify, update, or discontinue features of the Service
  • Impose limits on usage or storage

We will make reasonable efforts to notify you of significant changes or interruptions, but are not obligated to do so.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUNIFICENCE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or your account
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or €100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Munificence Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the Service. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and User Content
  • You will not be entitled to any refund of fees paid

Sections of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Data Export and Deletion

You may export your data at any time through the Service's export features. Upon termination of your account, you may request deletion of your data, and we will delete it in accordance with our Privacy Policy and applicable law.

We may retain certain information as required by law or for legitimate business purposes, such as preventing fraud or resolving disputes.

13. Third-Party Services

The Service may integrate with or link to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of service of third-party services. Your use of third-party services is subject to their respective terms and conditions.

We do not endorse or assume any responsibility for any third-party services, and your use of such services is at your own risk.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Sending an email to the address associated with your account
  • Displaying a notice within the Service

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ireland.

If you are a consumer resident in the European Union, you may also be entitled to the protection of mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Munificence Ltd regarding the Service and supersede all prior agreements and understandings, whether written or oral.

18. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19. Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms or any rights hereunder without your consent.
